Terms of Service
The agreement between us.
1. Acceptance
These Terms of Service ("Terms") govern your access to and use of Northbeams and related services (the "Service") provided by Northbeam Pte Ltd ("Northbeams", "we", "our"). The Service includes the dashboard at monitor.northbeams.com, the Northbeams browser extension, and the Northbeams desktop apps for Mac and PC (which also watch CLI tools on the same laptop). By creating a workspace, installing any Northbeams surface, or otherwise using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
2. Your account
- You must provide accurate registration information and keep it current.
- You are responsible for maintaining the security of your account credentials, your workspace's extension keys, and any desktop install tokens you distribute to your team.
- You are responsible for the activity of users you invite to your workspace.
- You must be at least 18 years old to use the Service.
3. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source of the Service except as permitted by law;
- Probe, scan, or test the vulnerability of the Service without our prior written authorization;
- Use the Service to violate any applicable law or third-party right;
- Submit content that is unlawful, infringing, or that you do not have the right to share with us;
- Resell, sublicense, or otherwise commercially exploit the Service without our written consent;
- Use the Service to send unsolicited communications to your employees or third parties.
4. Your responsibilities as a workspace owner
Northbeams records information about AI tool usage by people whose laptops run a paired Northbeams surface (browser extension, Mac app, or PC app). You are responsible for telling those people that this monitoring is happening, and for complying with any applicable employment, privacy, and notification laws in your jurisdiction(s). We provide tooling and transparency primitives (the extension's options page discloses what is collected and lets users disable sensitive-content classification; the desktop apps surface a menu-bar / system-tray indicator that the watcher is running); we do not act as your data protection officer or employment counsel.
5. Early access
The Service is in active development. Features may change and you may experience occasional interruptions. We will give you reasonable notice of material changes that affect you.
6. Fees
Every workspace starts with a 14-day Sentinel trial. After the trial, the workspace continues on Beam (aggregate-only AI discovery) at no cost for 60 days, capped at 10 active users. After the 60-day Beam window expires, or if the workspace exceeds 10 active users, paid monitoring is required to keep the workspace active. Paid tiers are Lighthouse at $15 per user per month and Sentinel at $25 per user per month, billed monthly or annually (annual billing is 20% off). Fleet (enterprise) pricing is custom. Fees and billing terms are presented in your workspace's billing settings before any charge is incurred. All fees are non-refundable except as required by law.
7. Confidentiality & security
Each party will protect the other's confidential information using the same standard of care it uses for its own. Specifics of how we handle data are described in our Privacy Policy, which is incorporated into these Terms by reference.
8. Intellectual property
Northbeams retains all rights, title, and interest in and to the Service, including all software, designs, and content we produce. You retain all rights in the data you provide. You grant us a limited license to process that data solely for the purpose of providing the Service to you.
9. Termination
You may close your workspace at any time from the dashboard or by emailing us. We may suspend or terminate your access if you breach these Terms (including the acceptable-use provisions), if required by law, or if continued provision of the Service would create a material risk for us or other customers. On termination we will delete your workspace data within 30 days, except where retention is required by law.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that our sensitive-content classifier will detect every instance of sensitive content (or that it will never produce false positives).
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. NORTHBEAMS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Northbeams from third-party claims arising out of (a) your violation of these Terms, (b) your violation of applicable law, or (c) content you submit to the Service.
13. Governing law
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising out of or in connection with these Terms.
14. Changes
We may update these Terms from time to time. If we make material changes we will notify you by email or via the Service. Continued use after the effective date of the new Terms constitutes acceptance.
