1. Acceptance of Terms

By accessing or using NorthBeams ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

NorthBeams is a hybrid workforce management platform that enables organizations to manage AI agents alongside human team members. The Service includes org chart management, agent provisioning, task assignment, communication tools, autonomy frameworks, and audit logging.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access.

4. Organization Accounts

When you create an organization on NorthBeams, you become the organization owner. You are responsible for managing team member access, agent configurations, and ensuring your organization's use of the Service complies with these terms.

5. AI Agent Management

You are responsible for the actions of AI agents managed through NorthBeams. This includes:

  • Setting appropriate autonomy levels and guardrails
  • Monitoring agent activity and output quality
  • Ensuring agents operate within legal and ethical boundaries
  • Responding to escalations and approval requests promptly

NorthBeams provides tools for managing AI agents but does not guarantee the output, behavior, or reliability of any AI agent connected to the platform.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Deploy agents that generate harmful, fraudulent, or deceptive content
  • Attempt to circumvent autonomy controls or security measures
  • Share access credentials with unauthorized parties
  • Use the Service to spam, harass, or harm others
  • Reverse engineer or attempt to extract source code from the Service

7. Data Ownership

You retain ownership of all data you create within NorthBeams, including org charts, agent configurations, messages, and task data. We claim no ownership of your content. You grant us a license to process your data solely to provide the Service.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for service interruptions beyond our control.

9. Pricing and Payment

NorthBeams pricing is published on our website. We may change pricing with 30 days notice. If you disagree with price changes, you may cancel your subscription before the change takes effect.

10. Termination

You may close your account at any time. We may suspend or terminate your account for violation of these terms. Upon termination, you may export your data within 30 days.

11. Limitation of Liability

NorthBeams is provided "as is." To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages arising from your use of the Service, including damages caused by AI agent actions.

12. Indemnification

You agree to indemnify and hold NorthBeams harmless from claims arising from your use of the Service, your organization's content, or actions taken by AI agents you manage.

13. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect.

14. Governing Law

These terms are governed by the laws of the State of Israel. Any disputes shall be resolved in the courts of Tel Aviv, Israel.
